Joseph Soares provides senior advisory services through IBPROM Corp. Advisory services are provided on a confidential, one-on-one or small-group basis and may include:

• Strategic advisory sessions (90 minutes)
• Ongoing advisory retainers (monthly recurring engagement)
• Intelligence briefings and market research
• Podcast interviews and guest appearances
• Content and publications on leadership and decision-making
• Newsletter subscriptions on strategic topics

Joseph Soares is not a consultant, coach, therapist, financial advisor, or legal counsel. The services provided are advisory in nature—strategic sounding board and judgment on retainer—and are not a substitute for professional advice from licensed practitioners in law, finance, medicine, or psychology.

3. Intellectual Property Rights

Your IP

Any materials, documents, information, or intellectual property you share with Joseph Soares during an advisory engagement remain your property. You retain all rights to your materials. By sharing materials during an engagement, you grant Joseph Soares a non-exclusive, confidential license to review, analyze, and discuss those materials solely for the purposes of providing advisory services.

TO THE FULLEST EXTENT PERMITTED BY LAW, Joseph Soares and IBPROM Corp. shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, business opportunity, or any other intangible loss, arising from:

• Your use or inability to use the website or services
• Any advisory guidance, statements, or recommendations provided
• Any decision you make based on advisory services or website content
• Errors, omissions, or inaccuracies in content or communications
• Delays, interruptions, or unavailability of the website or services
• Third-party content or conduct

DIRECT DAMAGES CAP: In no event shall Joseph Soares or IBPROM Corp. be liable for direct damages exceeding the total amount you have paid for advisory services in the 12 months preceding the claim, or $1,000 CAD, whichever is greater.

Some jurisdictions do not permit the exclusion or limitation of consequential damages. In such jurisdictions, the above limitation shall apply to the fullest extent permitted by law.

6. Indemnification

You agree to indemnify, defend, and hold harmless Joseph Soares, IBPROM Corp., and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms or any applicable law
• Your use or misuse of the website or services
• Your infringement of any third-party intellectual property rights
• Decisions you make or actions you take based on advisory services
• Any material you provide to Joseph Soares

7. Confidentiality and Privacy

All advisory engagements are strictly confidential. Joseph Soares will not disclose information shared during sessions without your explicit written consent, except:

8. Payment and Billing

Advisory service fees are as follows:

• Tier 1 - Strategic Session: $1,500 USD (single 90-minute session, no commitment)
• Tier 2 - Advisory Retainer: $5,000 USD/month (6-month minimum, 2 sessions/month + async)
• Tier 3 - Senior Advisory Retainer: $10,000 USD/month (12-month commitment, 4 sessions/month + priority async + quarterly deep-dive)

Payment is due as specified in your service agreement or invoice. Late payments may result in suspension of services. Fees do not include taxes, which may be applied based on jurisdiction.

Retainer agreements are non-refundable once services have commenced, except as required by applicable law. Cancellation of ongoing retainers must be provided in writing with 30 days' notice at the end of the current billing period.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario for the resolution of any dispute arising from these Terms or your use of the website and services.

If you are located outside Canada, you consent to the jurisdiction of the Ontario courts and waive any objection to venue.

10. Changes to These Terms

Joseph Soares reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. The "Last Updated" date at the top of this page indicates when changes were made. Your continued use of the website and services following changes constitutes your acceptance of the updated Terms. For significant changes, we will provide notice via email or prominent notice on the website.

The failure of Joseph Soares or IBPROM Corp. to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver is effective unless in writing and signed by an authorized representative.

16. Limitation Period

Any claim or action arising out of these Terms or your use of the website or services must be initiated within one (1) year of the date the claim or cause of action first arose. Claims initiated after this period shall be time-barred.
